General Terms and Conditions for the use of "The Hub"

1 Scope of application

1.1 These General Terms and Conditions (hereinafter: "GTC") apply to the free loan of the premises "The Studio", Nürnberger Straße 16, 10789 Berlin (hereinafter: "The Studio" or also "Loaned Object"), including the objects, technical equipment and systems (hereinafter: "Accessories") contained therein, as they result from the annex to these GTC, by Sole Brothers GmbH (hereinafter: "solebox") to the borrower in accordance with the following provisions.

1.2 "The Studio" is a creative and event space created by solebox for the community and dedicated to it. "The Studio" is a multi-purpose space in its conception. The uses include a co-working area, a photo studio and an event space. Use by the community should be as unrestricted as possible and is possible without payment.

1.3 Contractual agreements between the parties, which amend or cancel the provisions of the GTC in terms of content, require written confirmation by solebox to be effective.

1.4 Borrowers within the meaning of these GTC may be natural persons of legal age, personnel companies or legal entities, in the latter two cases each represented by a natural person of legal age authorized to represent them. The borrower or the person authorized to represent the borrower shall prove to solebox that he or she is of legal age at the latest at the beginning of the agreed rental period by presenting an official photo ID; otherwise solebox is entitled to refuse use and to terminate the rental agreement in accordance with section 6.2 of these GTC.

2. Booking of "The Studio"

2.1 The booking of "The Studio" can be made either online at Solebox Hub | Home or on site by filling out and submitting a corresponding form, to which these GTC are attached, at the solebox Store Berlin, Nürnberger Straße 14, 10789 Berlin (hereinafter: "solebox Store").

2.2 The booking of "The Studio" can only be made on a daily basis for the slots provided by solebox. The booking of two or more consecutive slots by the borrower is generally not possible and can only be made in exceptional cases with the prior written consent of solebox.

2.3 In any case, a rental contract between solebox and the borrower is only concluded when solebox has accepted the booking request of the borrower in accordance with the above clause 2.1 of these GTC.

2.4 Cancellation of an agreed rental date by the borrower is not possible; in the event of a violation of this, solebox may exclude the borrower from future use of "The Studio". However, the borrower is entitled to postpone an agreed loan date to another slot provided by solebox (subject to availability) with a notice period of seven working days before the start of the agreed loan period.

3. Use of "The Studio"

3.1. solebox allows the borrower to use "The Studio" for the agreed day and period. The borrower does not owe solebox any remuneration for this.

3.2 The following services are included in the use of "The Studio":

- Use of the premises of "The Studio",

- Use of the accessories,

- electricity costs,

- water costs,

- light final cleaning (broom cleaning),

- use of the WIFI.

3.3 On the agreed day of the rental, the borrower can collect the key for the rental item from the solebox store from the start of the agreed rental period on presentation of an official photo ID and his booking confirmation.

3.4. solebox retains the domiciliary right over the loaned item during the entire loan period and may enter the loaned item at any time without prior notice. solebox shall take reasonable account of the interests of the borrower.

3.5 If the loaned item cannot or only partially be used by the borrower due to force majeure or other circumstances unforeseeable at the time of conclusion of the contract and for which solebox is not responsible (e.g. operational disruptions of all kinds, power failure, water damage, noise pollution due to trade/construction work in the vicinity of "The Studio" unannounced to solebox, epidemics or pandemics), solebox shall not be liable for any resulting damage to the borrower.

4. Further rights and obligations of the borrower

4.1 The borrower is obliged to treat the rental item and accessories with care and not to use them for purposes other than those for which they were intended.

4.2 The borrower is prohibited from making structural or other changes to the rental item or accessories that go beyond the contractual use. In particular, the borrower may not use the accessories outside "The Studio" without a separate agreement with solebox.

4.3 The borrower must notify solebox immediately of any damage to the loaned item or accessories.

4.4 The borrower shall ensure that the legal regulations and all official orders communicated to him by solebox for the protection of minors, non-smoker protection and accident prevention are observed in the loaned item during the loan of the loaned item.

4.5 Subject to the following clause 4.6 of these GTC, the borrower is not entitled to transfer the rental item in whole or in part to third parties for use, in particular to sublet it.

4.6 The borrower may only bring the number of persons specified in the booking into the rental item. If persons are brought into the rental item, the borrower must ensure that the persons accompanying the borrower are of legal age and that the provisions of these GTC are also observed by all persons brought into the rental item by the borrower.

4.7 If the borrower's intended use of the rental item requires registration with the Gesellschaft für musikalische Aufführungs- und mechanische Vervielfältigungsrechte (GEMA), the borrower is obliged to make this registration in good time before the start of the agreed rental period. solebox is entitled to demand proof of registration from the borrower. The borrower shall bear all costs and fees arising from or in connection with the registration with GEMA.

4.8 The use of objects, aids, materials, substances, etc. in the rental item that could lead to damage or heavy soiling of the rental item and accessories or to a danger to the health of persons (e.g. open fire) is generally prohibited and only possible in exceptional cases with the prior written consent of solebox.

4.9 Animals may only be brought into the rental item with the prior written consent of solebox.

4.10. Workshops, courses, events or similar events of the borrower require the prior written consent of solebox. The organization of events of a commercial nature is not permitted.

4.11. In the event of heavy soiling of the rental item, i.e. soiling of the rental item that cannot be removed by simple broom cleaning, the costs for the necessary cleaning and, if necessary, repair will be charged to the borrower.

5 Liability

5.1 The borrower is liable to solebox for all damage caused to the rental item and accessories, insofar as this was caused by the borrower or by a person brought into the rental item by the borrower.

5.2. solebox shall only be liable for damage caused by a material defect or defect of title of the rental item or accessories if solebox has fraudulently concealed the material defect or defect of title from the borrower. Otherwise solebox is only liable for intent and gross negligence.

6. Termination of the loan agreement

6.1 The loan agreement ends automatically at the end of the agreed loan period, unless it is terminated beforehand by one of the parties.

6.2 The parties may terminate the loan agreement in accordance with the statutory provisions. Good cause for termination without notice by solebox shall be deemed to exist in particular if the borrower is not of legal age, if he uses the rental item or accessories in breach of contract, if he endangers operational safety through his behavior or if he violates other provisions of these GTC.

7. Return of the rental item

Upon termination of the rental contract in accordance with the above Section 6 of these GTC, the borrower is obliged to return the rental item to the lender without delay. For this purpose, the borrower must cancel the rental agreement with the lender by telephone or WhatsApp at +49 152/02765834 or in the solebox store and return the key for the rental item to the solebox store. The borrower must leave the rental item as he/she found it.

8. Rights of use

solebox is entitled to make video or photo material of the use by the borrower during the loan and to use this for self-promotion of the hub and the brand "solebox" worldwide and for an unlimited period of time (e.g. in the form of short videos in social media).

9. Place of jurisdiction, applicable law

9.1 The place of jurisdiction and place of performance is Berlin in accordance with § 29 ZPO.

9.2 These GTC as well as the loan agreement concluded between solebox and the borrower are subject to the law of the Federal Republic of Germany.

9.3 Should individual provisions of these GTC be or become invalid, this shall not affect the validity of the remaining provisions. Invalid provisions shall be replaced by the relevant statutory provisions, where applicable. However, if adherence to the contract as a whole would constitute an unreasonable hardship for one of the parties, even taking into account the amendments provided for in sentence 2 above, the contract as a whole shall be invalid.
